1. Introduction and Acceptance

These Terms of Service ("Terms") are a binding agreement between Punctual Pug Scheduling Software, Inc., Scheduling Software, Inc. ("Punctual Pug Scheduling Software, Inc.,," "we," "us," or "our") and the organization and individuals who access or use the Service (defined below).

The "Service" means the Punctual Pug Scheduling Software, Inc., workforce‑scheduling and shift‑management platform, including:

the web application and supervisor portal at app.punctualpug.com; the Punctual Pug Scheduling Software, Inc., mobile applications for iOS and Android; the marketing website at punctualpug.com; and related features, integrations, content, and support. By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Service.

If you use the Service on behalf of an organization (for example, a disability‑support provider that subscribes to Punctual Pug Scheduling Software, Inc.,), you represent that you are authorized to bind that organization, and "you" refers to both you and that organization.

2. Definitions

"Customer" or "Organization" — the provider entity that subscribes to the Service and on whose behalf Authorized Users access it. "Authorized User" — an individual (for example, an administrator, supervisor, scheduler, or staff member) whom a Customer permits to access the Service under the Customer's account. "Guest" — an individual who accesses limited functionality (for example, a shared schedule link) using an email one‑time passcode rather than a full account. "Person Supported" — an individual who receives services from a Customer and about whom information may be recorded in the Service. "Content" — data, text, schedules, notes, activity records, and other materials submitted to or generated within the Service. "Customer Data" — Content that a Customer or its Authorized Users submit to or generate within the Service, including any Protected Health Information. "Protected Health Information" or "PHI" — individually identifiable health information as defined under HIPAA (see Section 7). "HIPAA" — the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations, as amended. 3. The Service

Punctual Pug Scheduling Software, Inc.,, provides a scheduling and workforce‑coordination platform for disability‑support providers and similar organizations. Depending on the Customer's configuration and an Authorized User's role and permissions, the Service may include features such as:

creating, publishing, and managing schedules, shifts, and shift templates; shift requests, pickups, reroutes, callouts, and coverage management; recording shift activities and notes relating to Persons Supported; organizational structure such as locations, groups, roles, titles, and permissions; announcements and in‑app communication; and integrations with third‑party services (see Section 12). We may add, change, or remove features from time to time. Some features are available only to certain roles or subscription tiers.

4. Eligibility and Accounts

4.1 Eligibility. The Service is intended for use by organizations and their workforce in the course of the Customer's business. You must be at least 18 years old to create an account. The Service is not directed to children.

4.2 Account roles. Access is role‑based. A Customer's administrators control which Authorized Users may access the account, what data they may see, and what actions they may take.

4.3 Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to:

provide accurate registration information and keep it current; keep your password and any one‑time passcodes confidential and not share them; use any multi‑factor or step‑up authentication that Punctual Pug Scheduling Software, Inc., or a Customer requires; and notify us promptly at security@punctualpug.com if you suspect unauthorized access. 4.4 Authentication methods. The Service supports email‑and‑password sign‑in, single sign‑on through third‑party identity providers (for example, Sign in with Apple and Google), and email one‑time passcodes for certain Guest access. Your use of a third‑party sign‑in method is also subject to that provider's terms.

4.5 Guest access. Where a Customer shares a schedule link, a Guest may receive a one‑time passcode by email to view limited information. Guests must not attempt to access data beyond what the link provides.

5. Customer Responsibilities

The Customer is responsible for:

obtaining any consents, authorizations, and legal bases required to collect, use, and disclose Customer Data (including PHI) through the Service; the accuracy of Customer Data and the actions of its Authorized Users; promptly deactivating access for Authorized Users who leave the organization or change roles; configuring roles, permissions, and data access appropriately; and complying with all laws applicable to the Customer's own business, including HIPAA where the Customer is a Covered Entity or Business Associate. 6. Acceptable Use

You agree not to, and not to permit any Authorized User or Guest to:

use the Service in violation of any law or regulation, including HIPAA or state privacy laws; access, store, or transmit PHI or other sensitive data except as permitted by these Terms, the applicable Business Associate Agreement, and the Customer's own authorizations; attempt to gain unauthorized access to the Service, other accounts, or any systems or networks; probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure, except under a Punctual Pug Scheduling Software, Inc.,‑authorized testing program; upload malware or any harmful code; reverse engineer, decompile, or attempt to derive source code, except to the extent this restriction is prohibited by law; copy, resell, sublicense, or provide the Service to third parties except as expressly permitted; use the Service to build a competing product, or to scrape or harvest data; interfere with or disrupt the integrity or performance of the Service; or misrepresent your identity or affiliation. We may investigate suspected violations and may suspend or terminate access for conduct we reasonably believe violates these Terms or law, or that risks harm to any person, the Service, or other users.

7. Protected Health Information and HIPAA

7.1 Business Associate relationship. Where a Customer is a HIPAA Covered Entity or Business Associate and uses the Service to create, receive, maintain, or transmit PHI, Punctual Pug Scheduling Software, Inc.,, acts as the Customer's Business Associate. The parties' handling of PHI is governed by a separate Business Associate Agreement ("BAA") between Punctual Pug Scheduling Software, Inc., and the Customer, which controls over these Terms with respect to PHI.

7.2 Permitted uses. Punctual Pug Scheduling Software, Inc., will use and disclose PHI only as permitted by the BAA, as required by law, and as necessary to provide and support the Service.

7.3 Safeguards. Punctual Pug Scheduling Software, Inc., maintains administrative, physical, and technical safeguards designed to protect PHI, consistent with its BAA obligations, the HIPAA Security Rule, and its internal security and compliance policies. Details of these safeguards are described in Punctual Pug Scheduling Software, Inc.,'s internal policy set (for example, its Information Security, Encryption and Key Management, Access Control, Audit Logging, and Breach Notification policies).

7.4 No provider‑patient relationship. The Service is workforce‑scheduling and coordination software. It does not provide medical, clinical, or professional advice, and Punctual Pug Scheduling Software, Inc., is not a healthcare provider. The Customer remains solely responsible for the care of its Persons Supported and for its clinical and professional decisions.

7.5 Breach notification. In the event of a breach of unsecured PHI, Punctual Pug Scheduling Software, Inc., will notify the affected Customer in accordance with the BAA and applicable law.

8. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy. To the extent PHI is involved, the applicable BAA and Section 7 control over any conflicting terms in the Privacy Policy.

9. Intellectual Property and License

9.1 Our IP. The Service, including its software, design, and content (excluding Customer Data), is owned by Punctual Pug Scheduling Software, Inc., or its licensors and is protected by intellectual‑property laws. "Punctual Pug Scheduling Software, Inc.," and associated logos are our trademarks.

9.2 License to you. Subject to these Terms and payment of applicable fees, we grant the Customer a limited, non‑exclusive, non‑transferable, non‑sublicensable right for its Authorized Users to access and use the Service during the subscription term for the Customer's internal business purposes.

9.3 Your Content. As between the parties, the Customer owns its Customer Data. The Customer grants Punctual Pug Scheduling Software, Inc., a worldwide, non‑exclusive license to host, process, transmit, and display Customer Data solely to provide and support the Service and as permitted by the BAA.

9.4 Feedback. If you give us suggestions or feedback, we may use them without restriction or obligation to you.

9.5 Aggregated/de‑identified data. Punctual Pug Scheduling Software, Inc., may create and use aggregated or de‑identified data that does not identify any individual or Customer, provided such data is de‑identified in accordance with HIPAA where derived from PHI.

10. Mobile Applications and App‑Store Terms

10.1 App license. Punctual Pug Scheduling Software, Inc., grants you a limited, revocable, non‑transferable license to install and use the mobile applications on devices you own or control, subject to these Terms and the applicable app‑store rules.

10.2 Apple‑specific terms. If you download the app from the Apple App Store, you acknowledge that these Terms are between you and Punctual Pug Scheduling Software, Inc., not Apple; that Apple has no obligation to provide maintenance or support; that Apple is not responsible for any product warranties or claims; and that Apple and its subsidiaries are third‑party beneficiaries of these Terms and may enforce them. Your use must comply with the Apple Media Services / App Store Terms and the Apple Licensed Application End User License Agreement (LAEULA).

10.3 Google Play‑specific terms. If you download the app from Google Play, your use must comply with the Google Play Terms of Service and applicable Google policies.

10.4 Third‑party sign‑in. Use of Sign in with Apple, Google Sign‑In, or similar features is subject to the applicable provider's terms and privacy policy.

11. Third‑Party Services

The Service may integrate with or link to third‑party services (for example, identity providers, email delivery, messaging, and error‑monitoring services). We are not responsible for third‑party services, and your use of them is governed by their own terms. Removal or change of a third‑party integration is not a breach of these Terms.

12. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms, except for information that is public, independently developed, or required to be disclosed by law. This Section does not limit the PHI protections in Section 7 or the BAA.

13. Service Availability, Changes, and Support

We strive to keep the Service available but do not guarantee uninterrupted or error‑free operation. We may modify, suspend, or discontinue features, and may perform maintenance that temporarily limits availability. Any committed uptime, support response times, or service levels are as stated in a separate Service Level Agreement.

14. Suspension and Termination

14.1 By you / the Customer. A Customer may stop using the Service and may terminate its subscription as provided in the signed agreement between Punctual Pug Scheduling Software, Inc., and the Customer.

14.2 By us. We may suspend or terminate access (a) for material breach not cured within 30 days of notice, (b) immediately for conduct that risks harm to the Service, PHI, or any person, or (c) as required by law.

14.3 Effect of termination. On termination, the license in Section 9 ends and access ceases. Return and deletion of Customer Data (including PHI) will follow the BAA and Punctual Pug Scheduling Software, Inc.,'s data‑retention and disposal policy. Sections that by their nature should survive (including Sections 7, 9.1, 12, 15, 16, 17, and 18) survive termination.

15. Disclaimers

EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," AND PUNCTUAL PUG SCHEDULING SOFTWARE, INC., DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL, CLINICAL, OR MEDICAL JUDGMENT.

16. Limitation of Liability

Exclusion of Damages. To the maximum extent permitted by applicable law, in no event shall either party be liable to the other party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to this Agreement, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if such party has been advised of the possibility of such damages.

Cap on Liability. Except for the Excluded Claims below, each party's total aggregate liability arising out of or relating to this Agreement shall not exceed the total fees paid or payable by Customer to Company under this Agreement in the twelve (12) months immediately preceding the event giving rise to the claim.

Excluded Claims. The exclusions and limitations in this Section shall not apply to: (a) either party's indemnification obligations; (b) either party's breach of its confidentiality obligations; (c) Customer's breach of Company's intellectual property rights or the license restrictions in this Agreement; (d) Customer's payment obligations; (e) either party's gross negligence or willful misconduct; or (f) any liability that cannot be limited or excluded under applicable law.

17. Indemnification

By Company.  Punctual Pug Scheduling Software, Inc., shall defend, indemnify, and hold harmless Customer, its officers, directors, and employees from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) any claim that the Service, as provided by Company and used in accordance with this Agreement, infringes or misappropriates a third party’s intellectual property rights; or (b) Company’s gross negligence or willful misconduct in providing the Service.

By Customer. Customer shall defend, indemnify, and hold harmless Punctual Pug Scheduling Software, Inc., its officers, directors, and employees from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Customer’s use of the Service in violation of this Agreement or applicable law; (b) Customer Data, including any claim that it infringes or misappropriates a third party’s rights; or (c) Customer’s gross negligence or willful misconduct.

Process. The indemnified party shall (a) promptly notify the indemnifying party in writing of the claim, provided that failure to promptly notify shall not relieve the indemnifying party of its obligations except to the extent it is materially prejudiced by the delay; (b) grant the indemnifying party sole control of the defense and settlement of the claim, provided the indemnifying party shall not settle any claim in a manner that admits fault by or imposes any obligation on the indemnified party without its prior written consent; and (c) provide reasonable cooperation, at the indemnifying party’s expense.

Exclusions / Remedies for IP Claims. If the Service becomes, or in Company’s opinion is likely to become, the subject of an infringement claim, Company may, at its option and expense: (a) procure the right for Customer to continue using the Service; (b) modify the Service to make it non-infringing; or (c) terminate the affected Service and refund any prepaid, unused fees. Company shall have no obligation under this Section for infringement claims arising from (i) modifications to the Service not made by Company, (ii) use of the Service in combination with non-Company products or services, or (iii) use of the Service other than as permitted under this Agreement.

18. Dispute Resolution; Governing Law

Note for counsel: The arbitration and class‑action‑waiver provisions below reflect a common U.S. SaaS approach and are included here as best practice, but they are among the most consequential and jurisdiction‑sensitive terms in the document. They must be reviewed for enforceability, and coordinated with any Master Subscription Agreement (a B2B contract may handle disputes differently than a consumer clickthrough).

18.1 Governing law. These Terms are governed by the laws of the State of Utah, without regard to conflict‑of‑laws rules.

18.2 Informal resolution first. Before starting a formal proceeding, the parties will try in good faith to resolve any dispute for at least 30 days after written notice describing the dispute, sent to legal@punctualpug.com.

18.3 Binding arbitration. If the dispute is not resolved, it will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator, seated in Salt Lake County, Utah. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in court for actual or threatened infringement or misuse of intellectual property or confidential information/PHI.

18.4 Class‑action waiver. To the maximum extent permitted by law, disputes will be conducted only on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding. If this class‑action waiver is found unenforceable as to a particular claim, that claim will be severed and heard in court, and the arbitration provision will otherwise remain in effect.

18.5 Opt‑out. You may opt out of Section 19.3 (arbitration) and 19.4 (class‑action waiver) by sending written notice to legal@punctualpug.com within 30 days of first accepting these Terms. Opting out does not affect the other provisions.

18.6 Venue for non‑arbitrable matters. For any claim not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by notifying the Customer). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

20. General

Entire agreement. These Terms, the Privacy Policy, any BAA, and any Order Form or subscription agreement are the entire agreement between the parties on this subject. In case of conflict, the order of precedence is: (1) BAA (as to PHI), (2) signed Order Form / Master Subscription Agreement, (3) these Terms, (4) Privacy Policy. Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger or sale. Severability. If any provision is unenforceable, the rest remains in effect. No waiver. Failure to enforce a provision is not a waiver. Force majeure. Neither party is liable for delays caused by events beyond its reasonable control. Notices. Legal notices to Punctual Pug Scheduling Software, Inc., should be sent to the address in Section 22; we may notify you through the Service or your account email. U.S. government / export. You will comply with applicable export‑control and sanctions laws. If you are a U.S. government user, the Service is a "commercial item" provided with only the rights granted here. Independent contractors. The parties are independent contractors; these Terms create no partnership, agency, or employment relationship. 21. Contact
